Parker Drilling Company Announces Sale of 9 1/8% Senior Notes Due 2018
HOUSTON, April 11, 2012 /PRNewswire/ -- Parker Drilling Company (NYSE: PKD) (the "Company") today announced that it has agreed to sell to eligible purchasers an additional $125 million aggregate principal amount of its 9 1/8% Senior Notes due 2018. The notes were priced at 104.000% of par, for a yield to maturity of 8.256%. The offering is expected to close on April 25, subject to the satisfaction of customary closing conditions.
The Company intends to use the net proceeds of the offering of the senior notes to fund a cash tender offer for any and all of the $125 million outstanding principal amount of the Company's 2.125% Convertible Senior Notes due 2012.
The notes to be offered have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The notes will be offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act and non-U.S. persons in transactions outside the United States in reliance on Regulation S under the Securities Act.
